Terms of Service

1. Agreement to Terms

By accessing and using the Protopoc website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the terms of this agreement, you are not authorized to use this service.

2. Services Description

Protopoc provides proof-of-concept (POC) development services tailored to client specifications. Our services include:

  • Custom POC development in various technology stacks
  • Technical consultation and requirement analysis
  • Code delivery and documentation
  • Limited support as outlined in service agreements

3. Service Agreement Process

Submitting an intake form does not constitute a binding agreement. Actual service agreements will be established through separate written contracts that outline:

  • Project scope and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property ownership
  • Support and maintenance terms

4. Intellectual Property

Unless otherwise specified in a service agreement, all code and deliverables created for clients become the property of the client upon full payment. Protopoc retains the right to use general methodologies, techniques, and knowledge gained from projects for future work.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Payment is due according to the schedule outlined in service agreements
  • All fees are non-refundable unless otherwise specified
  • Late payments may incur additional charges
  • Services may be suspended for non-payment

6. Limitation of Liability

Protopoc's liability is limited to the amount paid for services. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

7. Warranties and Disclaimers

Services are provided "as is" without warranties of any kind. While we strive to deliver high-quality work, we do not guarantee that POCs will be error-free or suitable for production use without further development.

8. Confidentiality

We respect the confidentiality of client information and projects. We will not disclose confidential information except as required by law or with written consent. Clients are encouraged to execute separate non-disclosure agreements for sensitive projects.

9. Termination

Either party may terminate service agreements according to the terms specified in those agreements. Termination does not relieve either party of obligations that accrued prior to termination.

10. Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.

11. Governing Law

These terms are governed by the laws of the jurisdiction in which Protopoc operates. Any disputes will be resolved through binding arbitration or in the courts of that jurisdiction.
